Official Rules & Terms of Promotion
These Official Rules ("Rules") govern the "England vs Argentina" conditional promotional giveaway (the "Promotion"). By entering, each entrant ("you", "your") accepts and agrees to be bound by these Rules and by the decisions of the Promoter, which are final and binding in all matters relating to the Promotion, except where mandatory consumer-protection law requires otherwise. If you do not agree to these Rules in full, do not enter.
1. Definitions and Interpretation
1.1. In these Rules, the following defined terms have the meanings set out below:
- "Competent Football Authority" means the body officially responsible for recognising, confirming, and recording the result of the Match, including FIFA, UEFA, the Football Association, the Norges Fotballforbund, or any other officially recognised refereeing, disciplinary, or results body.
- "Entry Window" means the forty-eight (48) hour period beginning at the Activation Time and ending automatically thereafter, as further described in Section 4.
- "Match" means the official men's senior international football match between England and Argentina that forms the trigger condition for this Promotion.
- "Prize Pool" means five (5) individual prizes of one hundred thousand Tether (100,000 USDT) each, totalling five hundred thousand Tether (500,000 USDT).
- "Promoter", "we", "us", or "our" means Aetheria Media Holdings S.r.l., having its address at Via S. Raffaele 1, 20121 Milano (MI), Italy.
- "Provisional Winner" means an entrant selected by the draw as a potential winner, pending successful completion of all verification requirements.
- "Trigger Condition" means the condition that the England men's senior national football team is officially recorded as having lost the Match to the Argentina men's senior national football team, as further described in Section 3.
- "USDT" means Tether, a stablecoin digital asset issued on one or more supported blockchain networks.
1.2. Words importing the singular include the plural and vice versa; references to sections are to sections of these Rules.
1.3. Headings are for convenience only and do not affect interpretation.
1.4. These Rules incorporate by reference the Privacy Notice, Terms of Use, Cookie Notice, Winner Verification Process, Prize Fulfilment & Tax Notice, USDT Prize Payment Notice, Wallet Security Guidance, Sanctions & AML Notice, Acceptable Use Policy, and Contact & Complaints page, all of which are available on this website.
2. Promoter and Independence
2.1. The Promotion is operated solely by the Promoter, Aetheria Media Holdings S.r.l., having its address at Via S. Raffaele 1, 20121 Milano (MI), Italy.
2.2. The Promotion is independent. It is in no way sponsored, endorsed, administered by, or associated with Stake, any football club, any football league, any football player, FIFA, UEFA, the Football Association, the Norges Fotballforbund, any social-media platform, or any technology platform.
2.3. All trademarks, service marks, trade names, and other identifying references used in connection with the Promotion are used solely for identification, descriptive, and factual purposes. Their use does not imply any affiliation, authorisation, sponsorship, or endorsement by their respective owners.
2.4. The Promoter is the sole entity responsible for the design, administration, promotion, verification of entrants and winners, and fulfilment of prizes in connection with the Promotion.
2.5. No third-party brand, personality, or platform mentioned in any promotional material is responsible for, or may be held liable in connection with, the Promotion, its operation, or its prizes.
3. Conditional Nature of the Promotion (Trigger Condition)
3.1. THE PROMOTION IS STRICTLY CONDITIONAL. The entry window, the draw, and any and all prize disbursements are activated only if the England men's senior national football team is officially recorded as having lost the Match to the Argentina men's senior national football team, as confirmed by the Competent Football Authority.
3.2. The Trigger Condition is satisfied only when the official final result of the Match records a loss for England to Argentina. For the avoidance of doubt, the Trigger Condition is not satisfied if:
- England wins the Match;
- the Match ends in a draw, tie, or no-result;
- the Match is abandoned, postponed, cancelled, or declared void;
- the Match is replayed, rescheduled, or re-staged and England is not recorded as losing the original or re-staged Match;
- the result is subject to protest, appeal, or later amendment and England is not ultimately recorded as having lost; or
- the official result is not finally confirmed by the Competent Football Authority within a reasonable period determined by the Promoter.
3.3. If the Trigger Condition is not satisfied, the Promotion is deemed "not triggered". In that event, no entry window opens, no draw takes place, no prize is awarded, and no entitlement of any kind arises.
3.4. The Promoter determines whether the Trigger Condition has been satisfied by reference to the official final result recorded by the Competent Football Authority. The Promoter's good-faith determination is final, subject to manifest error.
3.5. For example, if the Match is abandoned at 0–0 with no official result recorded, or if the Match ends in a draw, the Trigger Condition is not satisfied and the Promotion is not triggered.
4. Promotion Period and Entry Window
4.1. The entry window opens only after the Promoter has recorded confirmation that the Trigger Condition is satisfied (the "Activation Time").
4.2. The Entry Window remains open for exactly forty-eight (48) hours from the Activation Time and then closes automatically. Entries submitted before the Activation Time or after the close of the Entry Window will not be accepted. No late entries will be accepted for any reason, including but not limited to technical failure, network delay, time-zone confusion, or misreading of the clock.
4.3. All timing is determined by reference to the Promoter's servers operating in Coordinated Universal Time (UTC). Client-device clocks, social-media timestamps, and third-party clocks are not authoritative.
4.4. If the Trigger Condition is not satisfied, the Activation Time does not occur and the Entry Window does not open.
4.5. The Promoter may, at its sole discretion, extend the Entry Window by a limited period if it determines in good faith that a force majeure event or technical failure materially impeded a significant number of eligible entrants from submitting entries during the original window. Any extension will be announced on the website and will not exceed the minimum time reasonably necessary.
5. Eligibility
5.1. The Promotion is open only to natural persons who, at the time of entry and at the time of any prize award, are aged eighteen (18) years or the age of majority in their jurisdiction of residence, whichever is higher.
5.2. The Promotion is void in the excluded jurisdictions and territories set out in Section 6 and wherever otherwise prohibited or restricted by applicable law.
5.3. The following persons are not eligible:
- employees, officers, directors, contractors, agents, and advisers of the Promoter;
- employees, officers, directors, contractors, agents, and advisers of any entity involved in the administration, marketing, or fulfilment of the Promotion;
- the immediate family members (spouse, partner, parent, child, sibling, or household member) of any of the above persons; and
- any person residing in the same household as any of the above persons.
5.4. Only one (1) entry is permitted per eligible person. Multiple entries submitted by, or attributable to, the same person are void and may result in disqualification of all associated entries.
5.5. Entries made by automated means, scripts, bots, computer programs, entry farms, or any other mechanical or electronic means are void. Entries made by third parties on an entrant's behalf, other than in the limited circumstances expressly permitted by the Promoter, are void.
5.6. No purchase, deposit, wager, payment, subscription, Stake account, gambling account, or other consideration of any kind is necessary to enter or to win. A purchase or wager will not improve an entrant's chances of winning.
5.7. Entrants must have the legal capacity to enter a binding agreement in their jurisdiction. Participation by a person who is legally incapable, or who is prohibited from receiving USDT or participating in promotions in their jurisdiction, is void.
5.8. Entrants must provide accurate, complete, and truthful information at entry. Any misrepresentation, omission, or false statement may result in disqualification and forfeiture of any prize.
6. Excluded Jurisdictions and Territories
6.1. Without limitation, the Promotion is void in:
- the U.S. States of New York, Florida, and Rhode Island;
- Puerto Rico;
- any comprehensively sanctioned country or territory, including, without limitation, Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine; and
- any other jurisdiction where the Promotion would be prohibited, restricted, or require local registration, bonding, or licensing that the Promoter has not obtained.
6.2. The Promoter may add to or amend the list of excluded jurisdictions through its administrative configuration where required to comply with law, sanctions, or platform terms. Entrants are responsible for ensuring that participation is lawful in their jurisdiction.
6.3. If a person enters from an excluded jurisdiction, or if their country of residence, nationality, place of business, IP-derived location, or verification documents indicate a prohibited jurisdiction, the entry is void and any provisional prize claim is forfeited.
6.4. The Promoter may rely on technical indicators, including IP geolocation, payment or wallet signals, and documentation, to determine jurisdiction. A person who uses virtual private networks, proxies, or other means to obscure their location does not thereby become eligible.
7. How to Enter
7.1. During the Entry Window, complete and submit the official entry form on this website. Required information includes:
- full legal name (as it appears on official identity documents);
- date of birth;
- country of residence;
- a valid, accessible email address; and
- affirmative confirmation that you meet the age requirement, accept these Rules, and acknowledge the Privacy Notice.
7.2. Marketing consent is optional and is not required to enter or win. Refusing marketing consent will not affect your chances of winning.
7.3. Entrants must verify their email address as instructed. Entries with unverified email addresses, or entries associated with invalid, disposable, or unreachable email addresses, may be treated as incomplete and excluded.
7.4. Entrants must not provide any cryptocurrency wallet address during the initial entry. Wallet details are collected only later, and only from verified Provisional Winners, through a separate secure workflow.
7.5. Each valid entry receives a unique, non-sequential entry reference. Retain this reference for your records, as it may be required to identify your entry during verification or in correspondence with us.
7.6. The Promoter may, at its discretion, require additional verification before an entry is accepted or before a prize is paid, including but not limited to proof of age, residency, identity, sanctions clearance, and anti-money-laundering checks.
7.7. Incomplete entries, entries that do not meet all required fields, or entries that fail email verification are not eligible for the draw.
8. Prize
8.1. Subject to the Trigger Condition being satisfied and to successful verification, the Prize Pool consists of five (5) prizes of one hundred thousand Tether (100,000 USDT) each, for a total prize pool of five hundred thousand Tether (500,000 USDT).
8.2. Prizes are paid in Tether (USDT) on a blockchain network selected and confirmed by the Promoter's administrator prior to payout. The supported network will be communicated to Provisional Winners during the secure wallet-collection workflow.
8.3. The value of USDT and other digital assets may fluctuate. The prize is denominated in USDT; no fiat-currency equivalent is guaranteed at any time. Winners are solely responsible for any exchange-rate risk, conversion costs, or value fluctuation after transfer.
8.4. Each winner is solely responsible for determining whether receiving USDT is lawful in their jurisdiction and for any resulting tax, reporting, or regulatory obligations.
8.5. Prizes are personal, non-transferable, and non-exchangeable, and no cash or alternative prize is offered except at the Promoter's sole discretion or where required by law.
8.6. The Promoter may withhold a prize or any part of it until all verification requirements, including any tax or legal clearances, are satisfied to the Promoter's reasonable satisfaction.
8.7. No person may receive more than one prize in this Promotion.
9. Winner Selection
9.1. After the Entry Window closes, the Promoter freezes the list of eligible entries, excluding disqualified, duplicate, test, invalid, or incomplete entries, and generates a cryptographic hash of the frozen dataset for integrity and audit purposes.
9.2. Five (5) Provisional Winners, plus a configurable number of reserve winners, are selected from the frozen eligible list using a cryptographically secure random number generator. The draw method, parameters, and timestamp are recorded, and a draw report is produced.
9.3. The draw is conducted by the Promoter or its appointed technical administrator. The process is designed to be unpredictable and verifiable in principle, but entrants are not entitled to attend, observe, or influence the draw in person.
9.4. If the number of eligible entries is fewer than the number of prizes, the Promoter may, at its discretion, award the available prizes to the eligible entries, reduce the number of prizes, or carry the unallocated prizes forward for future Promoter disposition in accordance with applicable law.
10. Verification and Disqualification
10.1. Selection as a Provisional Winner is not a guarantee of a prize. Provisional Winners are subject to identity, age, residency, sanctions, anti-money-laundering, politically-exposed-person, fraud, tax, and legal checks before any prize is confirmed.
10.2. The Promoter may require documentary evidence and completion of verification within a stated period. A Provisional Winner who fails or does not complete verification, breaches these Rules, or is found ineligible may be disqualified and the prize forfeited.
10.3. Where a Provisional Winner is disqualified, the Promoter may select an alternative winner from the reserve list or the eligible pool, in accordance with the procedures set out in these Rules.
10.4. The Promoter may disqualify any entrant or winner where it has reasonable grounds to suspect fraud, abuse, multiple entries, automated entry, misrepresentation, collusion, sanctions exposure, or any breach of these Rules or any applicable law.
10.5. The Promoter may require a Provisional Winner to execute a winner's declaration, publicity release, or tax information form as a condition of receiving a prize.
10.6. The Promoter may publish an anonymised winner list (for example, first name and country) for transparency. It will not publish private personal information such as full name, address, email, wallet address, or transaction details.
11. Suspension, Modification, Cancellation, and Changes
11.1. The Promoter may suspend, modify, or cancel the Promotion, in whole or in part, where legally necessary or where the Promotion is affected by fraud, technical failure, force majeure, an invalid or amended Match result, or any event beyond the Promoter's reasonable control, subject to applicable law and your mandatory consumer rights.
11.2. If the Promotion is cancelled or not triggered, the only remedy available to entrants is removal of their entry from the draw. No compensation, damages, or alternative prize is payable unless required by law.
11.3. The Promoter may, at any time and without prior notice, amend these Rules to the extent necessary to comply with law, prevent fraud, or protect the integrity of the Promotion. Material changes will be posted on the website.
12. Liability
12.1. To the maximum extent permitted by law, the Promoter is not liable for any loss or damage arising from participation in the Promotion or acceptance or use of a prize, including but not limited to indirect, consequential, or incidental loss.
12.2. Nothing in these Rules excludes or limits liability that cannot lawfully be excluded or limited, including for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.
12.3. The Promoter is not responsible for entries lost, delayed, incomplete, misdirected, or corrupted due to technical, network, or third-party failure, or for any failure by an entrant to receive notifications due to spam filters, incorrect email addresses, or other delivery failures.
12.4. Winners are solely responsible for the security of their own cryptocurrency wallets, private keys, and recovery phrases. The Promoter is not responsible for losses caused by wallet compromise, incorrect address submission, incompatible network selection, or other user error.
13. Data Protection
13.1. Personal data is processed in accordance with the Privacy Notice, which forms part of these Rules. By entering, you acknowledge that you have read and understood the Privacy Notice.
13.2. The Promoter may retain and disclose personal data to the extent necessary to administer the Promotion, verify winners, comply with legal obligations, and enforce its rights, as described in the Privacy Notice and Data Retention & Deletion notice.
14. Governing Law and Mandatory Rights
14.1. These Rules are governed by the laws of the jurisdiction in which the Promoter is established, without prejudice to any mandatory consumer-protection rights you have under the law of your country of residence. Mandatory consumer rights cannot be excluded, and applicable local law may override portions of these Rules.
14.2. Any dispute not resolved through the Contact & Complaints process may be subject to the dispute-resolution provisions set out in the Arbitration & Disputes notice, where permitted by law.
14.3. If any provision of these Rules is held invalid or unenforceable, the remaining provisions continue in full force and effect. The Promoter's failure to enforce a provision is not a waiver of that or any other provision.
14.4. These Rules, together with the incorporated notices and policies, constitute the entire terms of the Promotion and supersede all prior communications, representations, and agreements.
14.5. The official title of this promotion is the "England vs Argentina" conditional promotional giveaway. The Promoter does not use a public promotional reference number on consumer-facing materials.
